Terms of Service

Welcome to Managrie. These Terms of Service ("Terms") govern your access to and use of the Managrie property management platform, including our website, applications, and related services (collectively, the "Service"). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By accessing or using the Managrie Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update or modify these Terms at any time, and your continued use of the Service following any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Managrie is a cloud-based property management software-as-a-service (SaaS) platform designed to help property managers, landlords, and real estate professionals manage their rental properties, tenants, maintenance requests, and financial operations.

The Service includes, but is not limited to:

  • Property and unit management tools
  • Tenant and lease management
  • Rent collection and payment processing
  • Maintenance request tracking and vendor management
  • Financial reporting and analytics
  • Document storage and management
  • Tenant and owner portals
  • Communication and notification tools

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Service Level Agreement (SLA)

3.1 Uptime Commitment

Managrie commits to maintaining a monthly uptime of 99.5% for the Service, measured as the percentage of time the Service is available during each calendar month ("Uptime Commitment"). This excludes:

  • Scheduled maintenance windows (see Section 3.2)
  • Emergency maintenance required for security or stability
  • Outages caused by factors outside our reasonable control (see Force Majeure)
  • Issues resulting from your equipment, software, or network connections
  • Issues resulting from third-party services or integrations

3.2 Scheduled Maintenance

We perform scheduled maintenance to ensure optimal performance and security of the Service:

  • Regular Maintenance Window: Sundays, 2:00 AM - 6:00 AM Pacific Time
  • Notification: We will provide at least 48 hours' notice for scheduled maintenance expected to cause service interruption
  • Emergency Maintenance: Critical security patches or urgent fixes may be applied with shorter notice when necessary to protect the Service or user data

3.3 Service Credits

If we fail to meet our Uptime Commitment, you may be eligible for service credits as follows:

Monthly Uptime Service Credit
99.0% - 99.5% 10% of monthly fee
95.0% - 99.0% 25% of monthly fee
Below 95.0% 50% of monthly fee

To request a service credit, you must submit a written request to legal@managrie.com within 30 days of the end of the affected month. Service credits are applied to future billing and are not redeemable for cash. Maximum credits per month shall not exceed 50% of your monthly subscription fee.

3.4 Support Response Times

We provide support based on your subscription plan:

Response times are measured during business hours (Monday-Friday, 9 AM - 6 PM Pacific Time) except for Enterprise Plan critical issues, which are monitored 24/7.

3.5 Status Page

Current system status, planned maintenance, and incident reports are available at our status page. We recommend subscribing to status updates to receive notifications about service availability.

4. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your account information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Create a strong, unique password
  • Not share your account credentials with others
  • Notify us immediately of any unauthorized access or security breach
  • Ensure that you log out of your account at the end of each session

3.3 Account Types and Permissions

Managrie supports multiple user roles including administrators, managers, staff members, tenants, and vendors. Account administrators are responsible for managing user access and permissions within their organization. You agree to assign appropriate access levels based on user roles and responsibilities.

3.4 Age Requirements

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

5. User Responsibilities

As a user of the Service, you are responsible for:

  • Data Accuracy: Ensuring that all information you enter into the Service, including property details, tenant information, and financial data, is accurate and up-to-date.
  • Legal Compliance: Complying with all applicable federal, state, and local laws, including but not limited to fair housing laws, landlord-tenant laws, privacy regulations, and tax requirements.
  • Third-Party Consent: Obtaining all necessary consents from tenants, vendors, and other third parties before entering their personal information into the Service.
  • Data Backup: Maintaining your own backups of critical data. While we implement robust data protection measures, you acknowledge that no system is infallible.
  • Proper Use: Using the Service only for its intended purpose of property management and related activities.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in discriminatory practices in housing or tenant selection
  • Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use any automated means (bots, scrapers, etc.) to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to send unsolicited communications (spam)
  • Impersonate any person or entity or misrepresent your affiliation

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

7. Payment Terms and Billing

7.1 Subscription Plans

Managrie offers the following subscription plans:

  • Core Plan ($95/month): Includes 25 units, with additional units at $3.50/unit. Features include full dashboard, tenant portal, rent collection, maintenance tracking, and email support.
  • Premier Plan ($455/month): Includes 150 units, with additional units at $2.75/unit. Includes all Core features plus advanced analytics, custom reports, priority support, and multi-user accounts.
  • Enterprise Plan (Custom Pricing): Includes all Premier features plus dedicated account manager, custom integrations, API access, 24/7 phone support, and personalized training and onboarding.

7.2 Free Trial

We offer an extended free trial for new users:

  • First Month: Free upon sign-up, no credit card required
  • Second Month: Additional free month when you reach 15 total units
  • Third Month: Additional free month when you reach 35 total units

During the trial period, you will have access to the full features of your selected plan. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

7.3 Automatic Renewal

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period (monthly or annually) unless you cancel before the renewal date. By subscribing to a paid plan, you authorize us to charge your payment method on file for the renewal amount without further consent.

To cancel auto-renewal:

  • Go to Account Settings > Billing > Cancel Subscription
  • Or contact us at legal@managrie.com at least 24 hours before your renewal date

Cancellation will take effect at the end of your current billing period. You will retain access to the Service until then.

7.4 Billing Cycle

Subscriptions are billed on a monthly or annual basis, depending on your selection. Your billing cycle begins on the date you subscribe to a paid plan and renews automatically on the same day each month or year. Annual subscriptions receive a discount equivalent to two months free.

7.5 Payment Methods

We accept major credit cards (Visa, Mastercard, American Express, Discover), debit cards, and ACH bank transfers. You authorize us to charge your selected payment method for all fees incurred under your account, including subscription fees, overage charges, and applicable taxes.

7.6 Price Changes

We reserve the right to change our prices at any time. If we change prices:

  • We will provide at least 30 days' notice before the new prices take effect
  • For annual subscribers, the new price will apply at your next renewal date
  • Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the new price
  • You may cancel your subscription before the price change takes effect without penalty

7.7 Refund Policy

Subscription fees are generally non-refundable. However, we offer the following exceptions:

  • 14-Day Satisfaction Guarantee: New paid subscribers may request a full refund within 14 days of their first paid subscription if they are not satisfied with the Service
  • Service Outage: If we fail to meet our SLA commitments, you may be eligible for service credits (see Section 3.3)
  • Billing Errors: If you are charged in error, we will refund the incorrect amount upon verification
  • Annual Plan Cancellation: If you cancel an annual plan within 30 days of purchase, you may receive a prorated refund minus one month's subscription fee

To request a refund, contact legal@managrie.com with your account details and reason for the request. Refunds are processed within 10 business days to the original payment method.

7.8 Failed Payments

If a payment fails:

  • We will notify you by email immediately
  • We will retry the charge up to 3 times over a 10-day period
  • You may update your payment information at any time in Account Settings
  • After multiple failed attempts, we may suspend your access to the Service
  • Your account will be reactivated upon successful payment
  • You remain responsible for any uncollected amounts, including late fees if applicable

7.9 Taxes

All fees are exclusive of applicable taxes (sales tax, VAT, GST, etc.) unless otherwise stated. You are responsible for paying all taxes associated with your use of the Service. If we are required to collect taxes, they will be added to your invoice.

8. Data Ownership and Portability

8.1 Your Data

You retain all ownership rights to the data you upload, enter, or create using the Service ("Your Data"). This includes property information, tenant records, financial data, documents, and any other content you provide.

8.2 License to Use Your Data

By using the Service, you grant Managrie a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service. We will not sell, rent, or share Your Data with third parties except as described in our Privacy Policy or as necessary to provide the Service.

8.3 Data Export

You may export Your Data at any time through the Service's export functionality. We support data export in the following formats:

  • CSV: For spreadsheet-compatible data (properties, units, tenants, transactions)
  • PDF: For reports, leases, and formatted documents
  • JSON: For programmatic access and integration with other systems

Upon termination of your account, you will have 30 days to export Your Data before it is permanently deleted.

8.4 Data Deletion

Upon your request or account termination, we will delete Your Data from our systems within 90 days, except where retention is required by law or for legitimate business purposes (such as fraud prevention or dispute resolution).

9. Multi-Tenant Data Isolation

9.1 Data Segregation

Managrie is a multi-tenant SaaS platform, meaning multiple customers share the same infrastructure. We implement strict data isolation measures to ensure that your data is never accessible to other customers:

  • Logical Separation: Each organization's data is logically separated using unique identifiers and access controls
  • Row-Level Security: Database queries are filtered to only return data belonging to your organization
  • Application-Level Controls: All API requests and application functions validate organization ownership before returning or modifying data
  • Encryption: Data is encrypted at rest and in transit, with organization-specific encryption keys where applicable

9.2 Access Controls

Within your organization, you control who has access to your data through role-based access controls (RBAC). Administrators can:

  • Create and manage user accounts
  • Assign roles and permissions
  • Restrict access to specific properties or data types
  • Revoke access at any time

9.3 Tenant Portal Isolation

When tenants access the Tenant Portal, they can only view and interact with:

  • Their own lease information
  • Their payment history and upcoming payments
  • Maintenance requests they have submitted
  • Documents shared specifically with them

Tenants cannot access information about other tenants, other properties, or your organization's internal data.

9.4 Compliance

Our data isolation practices are designed to comply with industry standards and regulations, including SOC 2 Type II requirements. We conduct regular security audits and penetration testing to verify the effectiveness of our isolation controls.

10. API Usage Terms

10.1 API Access

API access is available to Enterprise Plan subscribers and may be made available to other plans at our discretion. The API allows you to programmatically interact with your Managrie data and integrate with other systems.

10.2 API Keys

To access the API, you must generate API keys from your account settings. You are responsible for:

  • Keeping your API keys confidential
  • Not sharing API keys with unauthorized parties
  • Rotating keys regularly (recommended: every 90 days)
  • Revoking keys immediately if you suspect compromise

Any activity using your API keys is attributed to your account. We are not responsible for unauthorized access resulting from compromised API keys.

10.3 Rate Limits

To ensure fair usage and system stability, API access is subject to rate limits:

Exceeding rate limits will result in HTTP 429 (Too Many Requests) responses. Repeated violations may result in temporary or permanent API access suspension.

10.4 Acceptable API Use

You agree to use the API only for purposes consistent with these Terms and to:

  • Identify your application with a User-Agent header
  • Handle errors gracefully and implement exponential backoff
  • Cache responses where appropriate to minimize API calls
  • Not attempt to circumvent rate limits or security measures
  • Not use the API to scrape, harvest, or collect data for purposes other than your legitimate business use

10.5 API Changes

We may modify, deprecate, or discontinue API endpoints at any time. We will provide at least 90 days' notice before removing or making breaking changes to existing endpoints. It is your responsibility to keep your integrations up to date.

10.6 API SLA

The API is covered by our Service Level Agreement (Section 3). API-specific uptime and performance metrics are available on our status page.

11. Third-Party Integrations

11.1 Available Integrations

Managrie may integrate with third-party services including but not limited to:

  • Payment Processors: Stripe, PayPal, Plaid
  • Accounting Software: QuickBooks, Xero
  • Background Check Services: TransUnion, Experian
  • Communication Tools: Twilio, SendGrid
  • Document Signing: DocuSign, HelloSign

11.2 Third-Party Terms

When you enable a third-party integration, you may be subject to that third party's terms of service and privacy policy. We are not responsible for:

  • The availability or performance of third-party services
  • Data handling practices of third parties
  • Fees charged by third parties
  • Changes to third-party services that affect integration functionality

11.3 Data Sharing with Integrations

By enabling an integration, you authorize us to share relevant data with the third-party service as necessary to provide the integration functionality. For example:

  • Connecting to QuickBooks will share financial transaction data
  • Enabling background checks will share applicant information
  • Using payment processing will share tenant payment information

You are responsible for ensuring you have appropriate consent to share data with third parties.

11.4 Integration Disclaimer

THIRD-PARTY INTEGRATIONS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT INTEGRATIONS WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL VERSIONS OF THIRD-PARTY SERVICES. USE OF INTEGRATIONS IS AT YOUR OWN RISK.

11.5 Disconnecting Integrations

You may disconnect third-party integrations at any time from your account settings. Disconnecting an integration:

  • Stops future data sharing with that service
  • Does not delete data already shared with the third party
  • May affect functionality that depends on the integration

12. Intellectual Property Rights

12.1 Our Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by Managrie, Inc. and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

12.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer or attempt to extract the source code
  • Remove any proprietary notices or labels
  • Use the Service for any purpose other than as intended

12.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us the right to use such feedback without restriction or compensation to you.

13. Disclaimers and Limitations of Liability

13.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13.2 No Guarantee of Availability

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that any errors or defects will be corrected. While we strive for high availability, we cannot guarantee 100% uptime.

13.3 No Legal or Financial Advice

The Service is a property management tool and does not provide legal, financial, tax, or accounting advice. You should consult with appropriate professionals for advice specific to your situation.

13.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MANAGRIE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13.5 Third-Party Services

The Service may integrate with or contain links to third-party services (such as payment processors, accounting software, etc.). We are not responsible for the content, policies, or practices of any third-party services.

14. Indemnification

You agree to indemnify, defend, and hold harmless Managrie, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including privacy rights
  • Any content you upload, submit, or transmit through the Service
  • Any claims by your tenants, vendors, or other third parties related to your use of the Service

15. Termination and Suspension

15.1 Termination by You

You may terminate your account at any time by:

  • Using the account cancellation feature in Account Settings > Billing
  • Contacting us at legal@managrie.com

Upon termination, you will continue to have access to the Service until the end of your current billing period. No refunds are provided for partial periods unless covered by our Refund Policy (Section 7.7).

15.2 Account Suspension

We may suspend your access to the Service, in whole or in part, under the following circumstances:

  • Payment Failure: If your payment fails and is not resolved within 10 days
  • Security Concerns: If we detect suspicious activity or potential security threats
  • Terms Violation: If we believe you have violated these Terms or the Acceptable Use Policy
  • Legal Requirements: If required by law or legal process

During suspension:

  • You may not access the Service, but your data will be preserved
  • Billing will continue unless otherwise specified
  • We will attempt to notify you of the suspension and the reason
  • You may appeal the suspension by contacting legal@managrie.com

15.3 Termination by Us

We may terminate your account at any time, with or without cause. Reasons for termination may include:

  • Repeated or serious violations of these Terms
  • Fraudulent, illegal, or harmful activities
  • Non-payment of fees after suspension
  • Account inactivity for more than 12 consecutive months
  • Discontinuation of the Service
  • Legal or regulatory requirements

We will provide at least 30 days' notice before termination, except where immediate termination is necessary to protect the Service, other users, or comply with legal obligations.

15.4 Effect of Termination

Upon termination:

  • Your right to access and use the Service will cease at the end of the notice period
  • You will have 30 days from termination to export Your Data
  • After the export period, we will delete Your Data in accordance with Section 8.4
  • You remain responsible for any outstanding fees
  • Provisions that by their nature should survive termination will survive, including: data ownership, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions

15.5 Reinstatement

If your account is terminated due to non-payment or a curable violation, you may request reinstatement by:

  • Paying all outstanding amounts
  • Demonstrating that the violation has been cured
  • Agreeing to comply with these Terms going forward

Reinstatement is at our sole discretion and may be subject to additional conditions.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.

We encourage you to review these Terms periodically for any changes. The "Last Updated" date at the top of these Terms indicates when they were last revised.

17. Governing Law and Dispute Resolution

17.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@managrie.com to attempt to resolve the dispute informally. We will work in good faith to resolve the issue within 30 days.

17.3 Binding Arbitration

If we cannot resolve a dispute informally, you and Managrie agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration shall be conducted by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall take place in Wilmington, Delaware, or at another mutually agreed location.

The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including whether a claim is subject to arbitration.

17.4 CLASS ACTION WAIVER

YOU AND MANAGRIE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Managrie agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

17.5 Exceptions to Arbitration

Notwithstanding the foregoing, either party may:

  • Seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights
  • Bring an action in small claims court if the dispute qualifies

17.6 Jurisdiction

For any matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware, and you waive any objection to venue in such courts.

17.7 Time Limitation

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

18. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party ("Force Majeure Event"). Force Majeure Events include, but are not limited to:

  • Natural disasters (earthquakes, floods, hurricanes, etc.)
  • Acts of war, terrorism, or civil unrest
  • Pandemics or epidemics
  • Government actions, laws, or regulations
  • Power outages or telecommunications failures
  • Cyberattacks or security breaches affecting infrastructure
  • Labor disputes or strikes
  • Failure of third-party services or suppliers

If a Force Majeure Event continues for more than 30 days, either party may terminate the affected services without liability by providing written notice to the other party.

19. General Provisions

19.1 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law. Any attempted assignment in violation of this section is void.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19.3 Entire Agreement

These Terms do not confer any third-party beneficiary rights. No person or entity other than you and Managrie shall have any rights under these Terms.

All notices to Managrie shall be sent to legal@managrie.com. Notices to you will be sent to the email address associated with your account. Notices are deemed delivered upon sending for email communications.

By using the Service, you consent to receive electronic communications from us, including:

  • Service notifications (maintenance, outages, feature updates)
